All,
Does anyone have amethod for copying db(all tables, procs etc..) but without the data. Scripting is not feasible because of number of objects constraints ..etc...

any help would be appreciated

Look at SSIS packages in BIDs,they have control-flow task for it.

I don't know about the SSIS-deal but if you don't want to script out everything, the way I probably would go is restore from an fresh backup and then delete the data you don't need.
