 Upgrade Question

Hello All,
Our production environment is Windows 2003 R2 Enterprise x64 edition with /Microsoft SQL Server 2005 - 9.00.4035.00 (X64),Standard Edition (64-bit) Active/Passive Cluster(2-node cluster)

Our plan is to upgrade to SQL Server 2008 R2 Standard edition x64 Active/Passive Cluster(2-node cluster) with out touching the Operating system at this time

my plan is to an inplace upgrade because of limited resources.

I do have 3 instances on this cluster.

Question:

1.Is it possible to do an inplace upgrade with the above set up?
2.will there be any issue doing this with out upgrading the operating system to Windows 2008?
3.To minimize the down time, i would like to do this 1 instance at a time, like every other weekend?

Since this is my first upgrade ever, i am little overwhelmed
